01the agreement

These Partner Program Terms ("Partner Terms") are a binding agreement between you and AERINO LABS LLC. You accept them when you apply to the program. Our Terms of Sale & Use, including the dispute resolution, arbitration and class action waiver in its Section 20, also apply to the program and are part of these Partner Terms. Where the two conflict on a program matter, these Partner Terms control.

02who may join

You must be at least 21, able to enter a binding contract, and approved by us. We review every application and may approve, decline, suspend or end any partnership at our discretion, at any time, with or without a reason.

03independent partner

You are an independent contractor. Nothing in the program makes you our employee, agent, franchisee or joint venturer. You may not make promises, sign agreements or speak for us, and you are responsible for your own costs and taxes.

04your code and link

When approved you receive a personal discount code and a tracking link. Your code gives the customer 10% off an order and cannot be combined with other codes. Codes and links are personal to you and may not be sold, transferred or published on coupon, deal or cashback sites.

05commission

You earn 20% of a referred customer's first order and 10% of each later order by that customer while your partnership is active. When your referred sales over the last 30 days reach $1,000, new orders earn 25% and 12% (the pro level). When your referred sales over the last 30 days reach $3,000, new orders earn 30% and 15% (the elite level). Each order earns at the level you hold when it is placed; levels are worked out from our records, leave out cancelled orders, and may move down as well as up. Commission is calculated on the amount the customer paid for products after all discounts, excluding shipping, taxes and fees.

An order is referred by you when the customer uses your code, or places it within 30 days of opening your tracking link in the same browser, and the customer was not already referred by another partner. Our records decide attribution and are final.

No commission is earned on your own orders, orders by people in your household or business, orders by our staff, or orders we cancel, refund, reverse or find fraudulent.

06when commission is earned

Commission is pending until the order is delivered, and is earned once it is delivered. If an earned or paid order is later refunded, charged back or reversed, we may deduct that commission from future payouts or ask you to repay it.

07payouts

Earned commission is paid around the 15th of each month once your earned balance reaches $50. Smaller balances roll over. We pay by the method you choose in your dashboard. You must give us accurate payout and tax details, including a completed IRS Form W 9 when we ask, and we may hold payouts until we have them. We may issue tax forms such as Form 1099 as the law requires.

08research only promotion

Our products are sold strictly for laboratory research. Every partner must keep it that way. You must not:

• Suggest, describe or imply any use of a product in or on people or animals, including administration, dosing, reconstitution, protocols, cycles or stacks.
• Make or imply any medical, health, wellness, anti aging, fitness, physique, weight loss, performance or cosmetic claim, or share personal use stories, testimonials or before and after images.
• Target or knowingly reach anyone under 21, or market to the general public as consumers.
• Bundle or offer syringes, bacteriostatic water or any supplies with our products, or offer gifts, rebates or incentives we have not approved.
• Bid on our brand name or close variations in paid search, run ads that look like ours, register domains or handles that use our brand, or use our logo beyond the assets we give you.
• Send spam, use misleading content, buy traffic, use bots or fake accounts, or make any false or unverified statement about our products, testing or certificates.

09disclosure

You must clearly disclose your commission relationship with us in every post, video, message and page that mentions us, as required by the U.S. Federal Trade Commission Endorsement Guides and any other applicable law.

10content review

We may review any content that mentions us and ask you to change or remove it. You agree to do so within 48 hours. Breaking the research only rules or the disclosure rule is a material breach.

11ending the partnership

Either side may end the partnership at any time, and we may end it immediately and without notice at our sole discretion. If we end it for a breach of these Partner Terms, all unpaid commission is forfeited. Otherwise, earned commission on orders delivered before the end date is paid in the next payout cycle. Your code and link stop working when the partnership ends.

12your responsibility

You alone decide how you promote us, and you alone are responsible for it: every post, video, message, comment, claim and conversation about our products, and every person you refer and how you refer them. We do not write, approve in advance or control your content, and nothing you say is said on our behalf.

If you break these Partner Terms or the law, that is your doing, not ours. We may remove you from the program immediately and without notice, deactivate your code and link, forfeit unpaid commission, and recover commission already paid on orders tied to the breach. You bear any fines, penalties, claims, costs and legal fees that result, and you will cooperate with us and with any regulator that asks about your content.

By ticking the responsibility box and submitting your application, you confirm that you have read and accept these Partner Terms, including this section.

13liability and indemnity

The disclaimers, limitation of liability and indemnification in our Terms of Sale & Use apply to the program. You will also defend, indemnify and hold us harmless against any claim arising from your content, your promotion of our products or your breach of these Partner Terms. Our total liability to you under the program will not exceed the commission paid to you in the six months before the claim.

14changes

We may change commission rates, payout rules and these Partner Terms. Changes apply going forward from the new version's effective date and do not reduce commission already earned. Continuing in the program after that date means you accept the new version.
